Wpromote is seeking a skilled Commercial Counsel to serve as a vital resource for clients, vendors, and contract management. This role will focus on providing risk-aligned guidance to ensure efficient deal progression while aligning with internal team objectives.

Key Responsibilities
  • Provide legal counsel for clients, vendors, and contracts.
  • Review, draft, and negotiate Master Service Agreements (MSAs), software licenses, Statements of Work (SOWs), and Data Processing Agreements (DPAs).
  • Utilize playbooks/templates and customize structuring when necessary.
  • Manage contract flow in Ironclad; triage, escalate, and streamline approvals.
  • Collaborate with internal teams and experts on information security and privacy matters.
Required Skills & Qualifications
  • J.D. degree with active state bar membership.
  • 3-5 years of transactional practice experience, preferably in marketing, advertising, data, IP, or privacy law.
  • Proven negotiation skills on fast-moving, complex deals.
  • Experience with contract lifecycle management (CLM) using Ironclad.
  • Strong communication skills and ability to work cross-functionally.
  • In-house experience in Ad/MarTech or AI is a plus.
