Corporate Legal Specialist

The Corporate Legal Specialist will manage the full lifecycle of U.S. entity administration for Anthropic PBC and its subsidiaries. This includes handling formations, filings, dissolutions, and maintaining corporate records. The role also supports governance activities such as director/officer appointments, preparation of materials and resolutions, and assists with new entity incorporations and post-incorporation tasks. Additionally, the specialist will support international entities with board meetings and local filings, coordinate signatory authority, and ensure corporate approvals are in place.

Key Responsibilities

• Manage U.S. entity administration including formations, filings, and dissolutions.
• Maintain corporate records for Anthropic PBC and its subsidiaries.
• Support governance activities including director/officer appointments and resolutions.
• Assist with new entity incorporations and post-incorporation work.
• Support international entities with board meetings and local filings.
• Coordinate signatory authority and corporate approvals.

Requirements & Qualifications

• At least 8 years of paralegal experience in corporate law.
• Expertise in U.S. entity management; international experience preferred.
• Experience with entity structuring: incorporations, dissolutions, mergers.
• Bachelor's degree or equivalent in a relevant field.
• ABA Paralegal certificate and California Notary Public license or interest in obtaining one.
• Ability to work in the SF office at least 3 days a week.
