Corporate Legal Director

We are seeking a highly skilled Corporate Legal Director to lead internal counsel on private fundraising, financing, and M&A deals. The ideal candidate will play a crucial role in drafting and negotiating term sheets, definitive documents, and managing closings while collaborating with Corporate Development on fundraising strategy and governance.

Key Responsibilities

• Lead internal counsel on private fundraising, financing, and M&A transactions.
• Draft and negotiate term sheets, definitive documents, and oversee closings.
• Collaborate with Corporate Development on fundraising strategies and governance.
• Oversee cross-border transactions, licensing considerations, and post-close activities.
• Advise on secondary sales and liquidity programs for shareholders.
• Build scalable processes and leverage LegalTech/AI to expedite transactions.

Requirements & Qualifications

• U.S. legal qualification and active license in at least one U.S. jurisdiction.
• 10+ years of experience in-house or in private practice with a focus on private financing and M&A.
• Proficient in drafting and negotiating term sheets, purchase agreements, and merger agreements.
• Strong knowledge of U.S. corporate and securities law for private companies.
• Experience in high-growth tech, fintech, or payments industries with cross-border structures (preferred).
• Combination of top-tier firm and in-house experience, ideally in late-stage growth/pre-IPO companies.
• Ability to work with a global Legal, Risk & Compliance team.
