Join a dynamic team as the Assistant General Counsel, Corporate, where you will play a pivotal role in managing SEC filings and corporate governance. Key Responsibilities
  • Own and drive periodic SEC filings including 10-K, 10-Q, and 8-K.
  • Lead the drafting of proxy statements and related materials.
  • Draft and coordinate Form 8-K filings for material events.
  • Oversee compliance with insider trading rules and Section 16.
  • Support the Disclosure Committee with cross-functional reviews.
  • Monitor SEC rulemaking and NYSE listing standards.
Requirements & Qualifications
  • J.D. with active U.S. bar (California or New York preferred).
  • 10–15 years of experience in public company securities and governance.
  • Experience drafting SEC filings: proxy statements, 10-K/10-Q/8-K.
  • Strong knowledge of insider trading, Section 16, and equity disclosures.
  • Top law firm experience; in-house public company experience required.
