MindTickle: Mastering Sales Enablement Through Innovative Learning Solutions

Agreement Scope; Services

The Master Subscription and Services Agreement between Customer and MindTickle governs the access and use of services provided by MindTickle, an online learning and enablement system software platform. This agreement covers subscription services, professional services, content as a service (CaaS), and customer education services described in Orders or Statements of Work signed by the Parties. Customer can procure these services for itself and its affiliates. Users, including end users and administrative account users, can access the Subscription Services for internal business purposes. MindTickle may provide updates, modifications, and enhancements to the services at its discretion. A Service Level Agreement ensures application availability, with provisions for scheduled maintenance and service credits for non-compliance. Additionally, MindTickle may offer Beta Releases for trial purposes, with the option to procure publicly available versions if deemed suitable.

Subscription Services Terms of Use

The Subscription Services provided by MindTickle are accessible to Users designated by the Customer. Users, including end users and admin users, are assigned specific log-in credentials for accessing the services. MindTickle reserves the right to provide updates, improvements, modifications, or new features to the Subscription Services without materially impacting the services or increasing the price during the Subscription Term. Users are responsible for adhering to the terms of use and utilizing the services for the Customer's internal business purposes. Any data associated with deactivated Users can be removed from the Subscription Services. Additionally, Users can benefit from the Service Level Agreement ensuring application availability and timely notifications for any scheduled maintenance.

Confidential Information and Security

The Agreement includes provisions regarding confidential information, with both parties obligated to maintain the confidentiality of proprietary data exchanged in the course of using the services. MindTickle ensures data security and compliance with industry standards to protect Customer data and information. Customers can rest assured that their data will be safeguarded, following strict security protocols implemented by MindTickle. The secure handling of confidential information and adherence to security measures are paramount to both parties involved in the agreement, ensuring the protection of sensitive data and fostering a trusting relationship.
