Understanding the Subscription Agreement

Gorgias Inc. offers a comprehensive Master Subscription Agreement that outlines the terms and conditions for accessing and using their proprietary support response systems, software products, and tools. This Agreement governs the subscription to the Gorgias services, including mobile applications, application interface protocols, and related technical interfaces. Customers can select the appropriate subscription plan that fits their needs, as outlined on the Gorgias website or in service orders. By agreeing to this contract, customers are bound to its terms upon subscribing to or contracting for the services, or permitting any agents or end-users to access and use the services.

Key Definitions and Terms

The Agreement provides clear definitions of key terms such as 'Affiliate,' 'Agent,' and 'End-Users,' helping customers understand the scope and extent of the services provided. Affiliates refer to entities related to the contracting parties, while Agents are individuals or entities granted access to the services in support of the customer's business. End-Users, on the other hand, are customers or consumers permitted to access the services by the customer.

Provision of Services

Gorgias commits to providing customers with access to subscribed services during the agreed-upon term, as per the Subscription Plan selected. The services are provided in line with the Agreement and any Supplemental Terms that may apply. Customers receive a limited, non-transferable right to access and use the services for internal business purposes, allowing agents and end-users access as necessary. The Agreement also addresses professional services, which may be covered under a separate agreement between Gorgias and the customer.

Rights and Responsibilities

Customers have specific rights and responsibilities outlined in the Agreement, including compliance with payment terms, eligibility requirements, and usage restrictions. Gorgias grants customers the right to access and use the services, subject to certain conditions. Excess use of services beyond the agreed-upon limits may require customers to upgrade their Subscription Plan or pay additional fees, as outlined in the Agreement.

Customers must meet certain eligibility requirements to subscribe to Gorgias services, such as having the necessary rights and authority to enter into the Agreement, providing accurate information, and complying with data privacy laws. Customers are also responsible for ensuring that their data does not contain any unlawful or offensive content. Gorgias emphasizes the importance of adhering to applicable laws and regulations, particularly regarding data privacy, to maintain a secure and compliant usage environment.
