Introduction to Gorgias Master Subscription Agreement

The Master Subscription Agreement (MSA) between Gorgias Inc. and customers, as detailed on their website, outlines the terms and conditions for accessing and utilizing the Services provided by Gorgias. These Services include proprietary support response systems, software products, mobile applications, and technical interfaces. By subscribing to a selected Subscription Plan, customers can gain access to these services, enabling their Agents and End-Users to leverage these tools effectively. This Agreement, last revised in November 2024, forms a binding contract between Customer and Gorgias, with legal implications upon usage of the Services.

Key Components of the Agreement

The Agreement sets forth key definitions, including those related to Affiliates, Agents, and End-Users. It outlines the provision of the Services during the Term, granting customers a limited right to access and use these tools for internal business purposes. Gorgias ensures compliance with terms and conditions, payment of fees, and eligibility requirements. Notably, the agreement does not cover professional services, which are subject to separate arrangements.

Provision of the Services and Grant of Rights

Gorgias provides access to subscribed Services based on the chosen Subscription Plan, updating terms as necessary. Customers receive a limited, non-exclusive right to access and use the Services for internal business purposes and support End-Users. Additionally, Customers can download and use the Gorgias Mobile Apps for convenient access on handheld devices. This access is subject to compliance with the Agreement, including payment of fees and meeting eligibility requirements. Customers must not exceed the volume of use permitted under their Subscription Plan to avoid Excess Use charges.

Eligibility and Compliance Requirements

Customers must meet specific eligibility requirements to subscribe to Gorgias' Services, ensuring they have the authority to enter into the Agreement, provide accurate information, comply with data privacy laws, and ensure lawful content in Customer Data. Compliance with applicable laws and regulations, especially concerning data privacy, is crucial for using the Services responsibly.
