The Subscriber must ensure the confidentiality of passwords and user names, use supported software, and follow secure data transmission protocols. Accelo does not own Subscriber Data but employs security measures to safeguard it. The agreement also highlights the restrictions on reverse engineering the Service, Subscriber's responsibility for obtaining and maintaining necessary equipment, and the Subscriber's role as a controller of personal data.
Data Protection and Confidentiality
Accelo and Subscriber agree to uphold Data Protection Laws, with Accelo responsible for maintaining safeguards for personal data shared through the Services, as detailed in the Accelo Privacy Policy. The agreement allows Accelo to use subprocessors to support service provision, with personal data processing taking place in approved jurisdictions. An important aspect involves Subscriber's ability to access, rectify, or delete personal data, with a clear process for data correction, deletion, and blocking outlined. Accelo commits to notifying Subscriber of any Security Incidents and cooperates during investigations to ensure compliance with data protection laws.
Payment Terms and Non-Payment Policies
The agreement stipulates that Fees for the Service are payable in advance and non-refundable, with automatic renewals based on the initial subscription term. Delinquent accounts are subject to interest charges and potential suspension or termination. Accelo reserves the right to charge unpaid fees to the Subscriber's credit card or issue invoices as necessary. Subscriber must ensure timely payment to avoid service suspension and potential data loss due to account delinquency.
Term, Termination, and Dispute Resolution
The Agreement commences upon the Effective Date and may include Initial and Renewal Terms based on the Order Form. Subscriber can request changes to the subscription, with specific notice requirements outlined. Termination may occur due to breaches, unauthorized usage, or non-payment. The agreement includes provisions for dispute resolution, including escalation steps, mediation, and eventual legal resolution. The parties commit to continued performance unless obligations are lawfully terminated or expired, ensuring service continuity during dispute resolution.
Liability, Indemnification, and Warranties
Accelo's liability is limited to the Fees paid by the Subscriber within the preceding twelve months, excluding certain damages like lost profits or data loss. Both parties provide indemnification for specific claims and agree to defend against third-party disputes. Accelo makes limited warranties regarding Service provision, while Subscriber assures accurate information provision and payment. The agreement disclaims implied warranties and outlines specific exclusion of damages and limitation of liability.
